TERMS AND CONDITIONS FOR LUHTA PHOTO BANK ACCESS AND USAGE

1. Introduction

These Terms and Conditions ("Terms") govern the access to and use of L-Fashion Group's (hereinafter “Luhta”) Photo Bank (the "Photo Bank"), which includes photographs, graphics, logos, and other marketing materials ("Content"). By accessing the Photo Bank, you ("Customer") agree to these Terms. If you do not agree to these Terms, you may not use the Photo Bank.

2. Ownership of Content

All Content on the Photo Bank is protected by copyright and other intellectual property laws and remains the exclusive property of Luhta. Luhta retains all rights, title, and interest in the Content, including all intellectual property rights. Nothing in these Terms shall be construed as granting you any ownership rights in the Content.

3. Permitted Use of Content

As a Customer of Luhta, you are granted a limited, non-exclusive, and revocable license to use the Content solely for the purpose of marketing and promoting Luhta's products. This license allows you as a Customer of Luhta to the following:

• Use of the Content in advertisements, marketing materials, and social media posts that promote [Company Name]'s products.
• Use of the Content on your company's website, as long as it is in direct relation to the sale or promotion of Luhta's products.
• You may not use the Content for any purpose unrelated to the promotion of Luhta's products. If you are unsure, please contact your Luhta sales person.

4. Restrictions on Use

The following actions are strictly prohibited:

• Modifying, altering, or creating derivative works from the Content without prior written consent from Luhta.
• Using the Content for any purposes other than marketing or promoting Luhta's products.
• Distributing, selling, or sublicensing the Content to any third party without Luhta's written permission.

Using the Content in a way that harms or tarnishes Luhta's brand or reputation.

5. Termination of Access

Luhta reserves the right to revoke your access to the Photo Bank and terminate your rights to use the Content at any time, without prior notice, if you breach these Terms or misuse the Content in any way.

6. Remedies for Breach

In the event of any violation of these Terms, Luhta reserves the right to seek any remedy available under the law, including but not limited to:

• Issuance of cease and desist orders for any improper use of the Content.
• Pursuit of damages or other compensation for any harm or loss caused by the misuse of the Content.

7. Indemnification

You agree to indemnify, defend, and hold harmless Luhta, its employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses arising out of or related to your use of the Content in violation of these Terms.

8. Warranties

Luhta warrants that it owns or has secured the rights to all Content provided in the Photo Bank. However, Luhta does not make any warranties, express or implied, regarding the accuracy or suitability of the Content for any particular purpose or campaign. The Content is provided “as is”, and you as the Customer of Luhta, assume full responsibility for determining whether the Content is appropriate for your intended use.

9. Limitation of Liability

In no event shall Luhta be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Photo Bank or the Content.

10. Termination

Luhta reserves the right to terminate or suspend access to the Photo Bank at any time for breach of these Terms.

Upon termination, Customers must cease using any Content obtained from the Photo Bank unless otherwise permitted by the license associated with the Content.

11. Governing Law

These Terms and any disputes arising out of or related to the Photo Bank or its use shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law principles.
